These Terms & Conditions ("Terms") govern your access to and use of the LocalStalls platform ("Platform") provided by [Micah Group Pty Ltd], ("Company") for event organisers. By accessing or using the Platform, you agree to be bound by these Terms and Conditions.

1. Platform Description:

The Platform provided by the Company is designed to assist event organisers in managing their events, clients, stall bookings, and payments. It enables event organisers to streamline their operations and enhance their event management capabilities.

2. Subscription:

Access to the Platform is provided on a subscription basis. Event organisers are required to pay the applicable subscription fees as per the pricing plan selected. The subscription fees may vary based on the features or resources provided.

3. Rights and Responsibilities:

a. Usage Rights: Event organisers are granted a limited, non-exclusive, and non-transferable right to access and use the Platform during the subscription period.
b. Usage Rights: Event organisers agree that any messaging or communications initiated via the platform will be free of profanity and will not constitute spamming.
c. Client Contact: Once an event organisers client has been on boarded onto the LocalStalls platform, they are automatically prompted to register with LocalStalls. If registration is successful, the client is given a LocalStalls company account and becomes a LocalStalls user. LocalStalls has the right to contact its users directly.

4. Data Privacy:

a. Data Security: The Company is committed to maintaining the security and confidentiality of the data provided by event organisers. All reasonable measures will be taken to prevent unauthorised access, use, or disclosure of data.
b. Data Usage: The Company may collect, process, and use data provided by event organisers for the purpose of improving the Platform, providing customer support, and complying with legal obligations.
c. Event Information: LocalStalls reserves the right to make public, the list of stall holders attending an event.

5. Intellectual Property:

a. Ownership: All intellectual property rights related to the Platform, including but not limited to copyrights, trademarks, and patents, belong to the Company.
b. License: Event organisers are granted a limited license to use the Platform solely for the purposes outlined in these Terms. No rights are granted for sublicensing, modifying, or distributing the Platform.

6. Limitation of Liability:

In no event shall the Company be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the Platform, including but not limited to loss of revenue, profits, or data.

7. Termination:

The Company reserves the right to suspend or terminate access to the Platform in case of violation of these Terms or non-payment of subscription fees. Upon termination, event organisers shall cease all use of the Platform.

8. Amendments:

The Company reserves the right to amend these Terms at any time. Event organisers will be notified of any changes, and continued use of the Platform after the effective date of the amendments shall constitute acceptance of the modified Terms.

9. Governing Law:

These Terms shall be governed by and construed in accordance with the laws of the state of Victoria, Australia. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in the state of Victoria, Australia.
